IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO FRESHSLICE PIZZA IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Freshslice Pizza, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the content, services, or products other than as expressly authorized in these Terms or your use of any information obtained from the Services.
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.
Before filing a claim against Freshslice Pizza, you agree to try to resolve the dispute informally by contacting [email protected]. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Freshslice Pizza may bring a formal proceeding.
Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, including whether the claims asserted are arbitrable, shall be referred to and finally determined by arbitration in accordance with the JAMS International Arbitration Rules. The tribunal shall consist of one arbitrator. The place of arbitration shall be Vancouver, British Columbia. The language to be used in the arbitral proceedings shall be English.
Notwithstanding the foregoing, you and Freshslice Pizza agree that nothing herein shall be deemed to waive, preclude, or otherwise limit either party's right to:
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Freshslice Pizza concerning the Services and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Freshslice Pizza with respect to the Services.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Freshslice Pizza's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
You may not assign or transfer these Terms, by operation of law or otherwise, without Freshslice Pizza's prior written consent. Any attempt by you to assign or transfer these Terms without such consent shall be null and void. Freshslice Pizza may freely assign or transfer these Terms without restriction.
Any notices or other communications provided by Freshslice Pizza under these Terms, including those regarding modifications to these Terms, will be given by posting to the Services or by email. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms.
